DSC is a used vehicle floor plan company for independent dealers based in Carmel, Indiana, and complements Manheim’s current lending products provided through Manheim Financial Services (MAFS).</p>

We can now give dealers access to broader offerings of products and additional staff to service their in-lane and online needs. <p>Manheim will continue both the MAFS and DSC brands and operate the companies separately. Barclays Capital acted as the financial advisor to Manheim, while William Blair &amp; Company acted as the financial advisor to Dealer Services Corporation.</p>

<p>&#8220;This position shows our customer’s how committed we are to building the best service platform in the industry. With the addition of Dohse, who brings a diverse automotive background to this position, it will allow DSC to accelerate new service and product offerings.” COO Shane O’Dell,  explained.</p>
<p>Dohse is a graduate of the University of Wisconsin and holds a degree in economics. He is a native of Madison, Wisconsin, but will relocate to Carmel, Indiana. Since joining  DSC in 2005, Dohse has held numerous leadership positions in many areas of the company.</p>

With more than 40 years’ experience in the automotive finance industry, McIver brings a deep understanding of the challenges facing today&#8217;s inventory finance organizations.</p>
<p>“I think Bill McIver is one of the most knowledgeable people there is in vehicle remarketing, and I am excited to have him join our board,” commented John Fuller, DSC’s Chairman of the Board. “As we build DSC to be the best company it can be, we feel fortunate having men like Bill to guide and direct us,” Fuller continued.<span id="more-173"></span></p>
<p>After a career spanning four decades with General Motors Acceptance Corporation (GMAC), Mr. McIver retired as Director of Internet Remarketing in May 2009. McIver held a number of management positions with GMAC, now Ally Bank, in virtually every area of financial services including collections, dealer credits, commercial lending, and remarketing. He managed operations in a number of locations and spent ten years in GMAC’s Detroit headquarters. He was the developer and Director of GMAC’s online wholesale auction, SmartAuction. SmartAuction has sold more than 3 million vehicles online, revolutionizing the way vehicles are remarketed.</p>
<p>“It has been my pleasure to watch Dealer Services Corporation’s rapid rise to become the leader in financial services for independent dealers. Becoming part of the DSC team is an exciting opportunity that I look forward to with great anticipation,” stated McIver.</p>

<p>The new Spanish website is another step in DSC&#8217;s efforts to broaden company services and empower the DSC dealer.  In addition to the Spanish website, DSC’s bilingual Customer Service Center currently supports more than 10,000 dealerships through the processing of funds, providing account analytics, and by aligning customers with the best product and service options to maximize dealership profit levels.</p>

Fox joined DSC on May 3, and will be responsible for establishing and building DSC University, a company implemented learning management system designed to expand employees&#8217; personal and professional growth.<span id="more-16"></span></p>
<p>Fox brings an extensive training and development background to DSC, which includes a Master of Science degree in Human Resource Development.  She has worked with such programs as Global Modeling, Optimizing People Performance and DISC and Values.</p>
<p>“Angela’s enthusiasm for training and development is infectious, and we are very excited about what she is creating at DSC and how it will benefit everyone,” stated Peggy Boyd, Human Resource Manager.</p>
<p>This training will allow DSC to improve operational efficiencies, automate workflow processes and better integrate business needs.  “With the University, DSC continues to invest in our greatest asset, our employees. Using an efficient and effective delivery system, DSC University will help employees grow in their job functions while also allowing them to enrich their personal development,” continued Boyd.</p>
<p>“Making training readily available and interactive is very important; our plans for employees to access their course work via their laptops, tablets and smartphones will definitely accelerate the learning curve,” Fox explained. “Confident, well trained employees offer the best customer service, and DSC plans to take its service offerings to even higher levels as our employees become enrolled and fully engaged within the DSC University platform,” Fox continued.</p>
<p>DSC University will be powered by Taleo’s Learn.com, the world-wide leader in on-demand workforce development and will offer hundreds of standard and customized programs to DSC’s 400 employees.  Training will be completed within company defined time periods, and courses will be broken down and developed into modules of learning such as, Instructor Led Training, Webinars, and self taught web based Training. “Our goal is to clearly define the career/job paths for each position at DSC and to make available a robust amount of coursework from several disciplines such as accounting, collections, management, marketing and of course customer service.  In addition, our team is hard at work converting all the company’s proprietary training materials into the new format to more effectively train the deeper specializations of DSC inventory financing,” CEO Brian Geitner explained.</p>

<p>Carmel, IN., March 24, 2011 &#8211; Dealer Services Corporation (&#8220;DSC&#8221;), a full-service auto floorplan finance company, announced today that it has consummated the offering of $252.2 million of asset backed securities (the &#8220;securities&#8221;) due 2014. The securities, issued through DSC Floorplan Master Owner Trust, are comprised of $225 million of senior secured notes and $27.2 million of subordinate secured notes.  The $225 million of senior notes achieved a DBRS, Inc. rating of AAA(sf) and the $27.2 million of subordinate notes achieved a DBRS, Inc. rating of BBB(sf).  The Rule 144A series 2011-1 offering was led by Deutsche Bank Securities who was the sole bookrunner on the transaction.<span id="more-22"></span></p>
<p>The 144A notes have been placed to over ten institutional investors including some of the largest insurance companies and investment firms in the United States.</p>
<p>In addition to the asset backed securities offering, DSC also entered into a new $290 million revolving credit facility agented by Deutsche Bank.  The revolving credit facility is a multi-bank facility and together with the Asset Backed Securities, this facility provides DSC significant capital for continued growth.</p>
<p>“DSC is very pleased to be the first in our industry to successfully issue asset backed securities to the capital markets.  These transactions were highly rated and have brought DSC a new and broad funding source for our future growth,” said Marty McFarland, president of Dealer Services Corporation.  “I would like to commend Deutsche Bank on their execution of these facilities and congratulate them on the high caliber of investors and bank participants they brought forth, we are quite happy to have such high quality investors behind DSC”.   Mr. McFarland went on to state “We are pleased and appreciative of our long relationship with Deutsche Bank.  With these facilities available, DSC will continue to grow and provide our dealers the highest level of service and products available in the market.”</p>

<p>“The concept is simple”, declares Brian Geitner, DSC’s CEO. “Our 15,000 square foot customer service center houses two distinct teams, a Dealer Services team and an Auction Services team.  Together these teams of 60 employees are poised to provide the industry’s best customer service and are able to assist clients with any aspect of their daily business needs.”</p>

<p>With the dedicated staff and new technology in place, the Dealer Services team is able to more quickly and efficiently give our customers the personal attention they need to complete their daily transactions and administrative requests. The new Customer Service Center complements DSC’s existing team of local account representatives, who are available to discuss products, services and business strategy on-site at a dealer’s place of business.</p>

With a national footprint in over 72 markets, and a recently expanded sales team, DSC’s collaboration with Hertz is just one of several new initiatives DSC has undertaken in 2010 to increase its service levels. DSC will be begin offering the new program to dealers in select markets in July.</p>

<p>Also on June 7, Information Builders, an independent leader in business intelligence solutions, honored DSC as one of its 2010 annual Awards of Distinction winners.  Chris Brady accepted the award for innovative use of BI and integration technology at Information Builders’ 2010 Summit User Conference.</p>
<p>International Data Group (IDG) announced June 1st that Chris Brady would receive its InfoWorld CTO 25 Award for driving innovation in IT and improving DSC’s core technology to underpin business operations.  Each year, the InfoWorld CTO 25 Awards honor senior IT executives who have demonstrated innovation within their companies and in the IT community.  2010 honorees were chosen for their ability to create new opportunities for their business through IT even as they got leaner, focusing as much on innovation as cost-effectiveness.</p>
<p>In addition, IDG&#8217;s CIO magazine will present Brady with the 2010 CIO 100 Award, which recognizes organizations around the world that exemplify the highest level of operational and strategic excellence in information technology (IT).   The award will be presented on August 24th at the conclusion of the twelfth annual CIO 100 Symposium® and Awards Ceremony.  Honorees will also be featured in the August 1, 2010 issue of CIO magazine.</p>

			<content:encoded><![CDATA[<p>Dealer Services Corporation, a financial services company, announced today that it will expand here, creating up to 60 new jobs by the end of 2012.</p>
<p>Headquartered in Carmel, Dealer Services Corporation provides inventory financing programs for more than 8,000 automotive dealers throughout the country.  The company will invest $6.4 million to lease and upgrade an additional 12,000 square feet at its City Center Drive facility.  In 2005, the company announced plans to locate its global headquarters in Hamilton County.</p>
<p>“Dealer Services Corporation’s growth in Indiana is further proof that our work to build the best environment for business in the country is paying off,” said Governor Mitch Daniels.  “This expansion means more high-paying jobs are coming to Indiana which is great news for our workforce and our economy.”</p>
<p>Dealer Services Corporation operates in more than 68 markets across North America where it provides automotive inventory financing for retail, wholesale, salvage, lease here pay here, daily rental and consumer lending networks.</p>
<p>“The economic environment is perfect for finance companies to expand, if they can raise the capital. DSC has prepared for this moment and we’re ready to take advantage of the opportunity. We have the financial backing needed and an experienced staff of aggressive entrepreneurs,” said Marty McFarland, Dealer Services Corporation executive vice-president of finance and business development.  “Indiana is a very conservative state with a very favorable tax climate for business and the employees here are loyal, hardworking people that are committed to building a great place to live.”</p>

<p>The Indiana Economic Development Corporation offered Dealer Services Corporation up to $525,000 in performance-based tax credits and up to $60,000 in training grants based on the company’s job creation plans. The city of Carmel will consider additional property tax abatement.</p>

<p>Dealer Services Corporation’s expansion announcement comes just days after the state was recognized by a tax research group for its business-friendly tax environment.  Indiana moved up two places in the Tax Foundation&#8217;s 2010 Business Tax Climate Index to 12th overall, up from 14th in 2009, and remains the top state in the Midwest for business tax competitiveness.</p>

<p>As a result of a great work force and dedicated people; DSC is expanding its’ corporate headquarters.  Starting in Carmel, IN. just three years ago DSC has outgrown the original facility of 13,000 square feet and is moving to the New City Center where it will enjoy 26,000 sq, ft. of brand new space.   “The new location is just one mile north of our current facility allowing us to stay in the city of Carmel in Hamilton County”.  “This is very pleasing to us, stated Brian Geitner, COO of DSC, as we have truly appreciated the services Carmel provides.”</p>
<p>DSC is expanding in other markets as well.  Recently a new office in Orlando, FL was opened to meet customer demand. DSC has three other markets slated for similar expansion projects. “We built DSC on Service and being in the right locations is very important to us”, said CEO, John E. Fuller.</p>

To celebrate this achievement, DSC paid off the balance of the one millionth vehicle for Jim Curtner, owner of Auto Depot, LLC in St. Ann, Missouri.</p>

<p>Hitting the one million vehicle milestone solidifies DSC’s fast-track growth since being started in 2005 by CEO John E. Fuller and positions DSC as a leader in the floorplan finance industry. Fuller pioneered organized floorplanning for independent auto dealers in 1987 when he founded Automotive Finance Corporation (AFC), from which he retired in 2001.</p>
<p>Four years later, Fuller created DSC. “Realizing the need for a truly independent financing source for independent dealers, I saw the opportunity to assemble a dynamic team with extraordinary entrepreneurial skills to challenge the industry,” Fuller explained. He credits his company’s success to his employees. “I hired the cream of the crop employees when I started DSC, and I am so proud of all of them for the hard work they display each day,” he added.</p>
<p>Curtner is one of over 12,000 dedicated DSC dealers in North America. He was thrilled to learn his dealership was the recipient of DSC’s one millionth loan. “It’s not every day that a loan is forgiven. I was surprised and shocked at first,” Curtner said. “DSC believes in providing top-notch service to its clients and paying off the one millionth loan is just one example,” he remarked.</p>
<p>DSC got its initial funding in February 2005, began making loans in July 2005 and in less than three years has become one of the top three floorplan finance companies in North America.  DSC has over 500 employees and many new service products for its dealers. In addition to its corporate office in Carmel, Indiana, DSC has 71 field offices throughout the country and numerous new financial opportunities for future projects in the works.</p>

The new financing agreement allows JCL’s dealers to increase their inventory and revenue with added financial flexibility.</p>
<p>DSC will provide financing for both new and used products. Terms available for new JCL units can be extended for up to 360 days. DSC is one of the fastest growing inventory financing companies in the US and maintains 70 full service locations. Currently, DSC has financial relationships with over 7000 dealers nationwide.</p>

<p>Dealer Services Corporation (DSC), North America’s largest provider of diversified inventory financing for independent auto dealers announced today that funds managed by Cambridge Place Investment Management, LLP (CPIM), have made an equity investment in DSC within days of a three-year $700 million asset-backed financing agreement structured by  Deutsche Bank Securities.</p>
<p>“CPIM is excited to continue its relationship with DSC and looks forward to helping the company grow,” stated Quentin Cote, Head of Private Investments – Americas for CPIM.  “DSC is an industry-leading independent dealer finance company, providing competitive, flexible financing products and superior customer service.”</p>
<p>The equity investment by CPIM and DSC’s current equity sponsors, Angelo, Gordon &amp; Co., L.P., and Noro-Moseley Partners, totaled in excess of $18 million and follows the $30 million investment previously made in DSC.  The investment compliments a $700 million financing agreement with Deutsche Bank Securities announced recently.</p>
<p>The new capitalization will allow DSC to create some $200 million in growth, including the opening of 10 more branches in the U.S. over the next 18 months, aiming at a goal of $1 billion in financing receivables, says Fuller.</p>
<p>“We are very pleased with the investment CPIM has made in our business,” commented John Fuller, DSC chief executive officer.  “CPIM is a highly talented international investment management group with great knowledge of our industries across international markets.  This investment validates our business model and combines DSC with world-class partners with a global reach.”</p>
<p>Fuller founded organized floorplanning for independent auto dealers in 1987 when he started Automotive Finance Corporation (AFC), he retired form AFC in 2001.  His retirement only lasted until February 2005 when he launched DSC and in July 2005 the company began funding dealer purchases. DSC was launched February 2005, and in July 2005, the company began funding dealer purchases.  In less than two years, DSC has grown to $550 million in diversified product receivables with 375 employees, more than 65 branch locations across the U. S., and 9,200 contracted dealers.</p>
<p>“Realizing the need for a truly independent financing source for independent dealers,” said Fuller, “I saw the opportunity to assemble a dynamic team with entrepreneurial skills. . .This new financing agreement provides us with the opportunity for continued exceptional growth. . .We hope to grow to $1 billion in diversified products receivables over the next two years.”</p>

<p>Cambridge Place Investment Management, LLP, founded in 2002, is part of a UK-based investment management group focused on financial services and real estate markets, with a particular emphasis on structured finance investments.  As of June 1, 2007, CPIM and its related entities had approximately 130 employees with offices in London, Boston (Concord), and New York and gross assets under management of approximately $10.0 billion.  CPIM is authorized and regulated by the Financial Services Authority.</p>
